Terms of Service

The rules for using PeerTalk, the embeddable Widget and optional paid features.

1. Agreement to These Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Mind Chat AI, 10 W 37th St, New York, NY 10018, United States ("Mind Chat AI", "we", "us", "our"), the operator of PeerTalk.

By accessing or using PeerTalk at peertalk.chat, any of its subdomains, or any embedded PeerTalk Widget (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service. If you use the Widget on a third-party website, these Terms apply wherever the Widget is embedded.

2. The Service

PeerTalk is an anonymous, user-generated content service that provides:

  • Anonymous encrypted group chat rooms and private direct messages
  • Public and private channels with announcement functionality
  • Community sentiment voting (Bullish / Bearish / Scam) for cryptocurrency tokens and a live leaderboard based on those votes
  • PeerTalkID, an optional anonymous persistent identity
  • An embeddable Widget for third-party platforms
  • Optional paid features such as Premium and Token Profile Upgrades (see section 12)
PeerTalk is not a financial service, investment platform, exchange, broker or custodian, and does not hold or transmit funds for users.

We may change, suspend or discontinue any part of the Service at any time.

3. Eligibility

You must be at least 13 years old to use the Service. You must also be of legal age to form a binding contract in your place of residence, or have the consent of a parent or legal guardian who agrees to these Terms on your behalf. If you do not meet these requirements, do not use the Service.

Purchasing any paid feature requires that you are of legal age in your place of residence or have the consent of a parent or legal guardian. You may not use the Service if you are barred from doing so under applicable law.

4. No Financial Advice

The Service does not provide financial, investment, legal or tax advice.Do not rely on any content on the Service when making financial decisions. Do your own research and consult a qualified professional.

All content on the Service, including chat messages, sentiment votes, leaderboard rankings and token profile information, is user-generated and reflects the personal opinions of anonymous users only. A token's appearance on the Service, including its name, logo or community links, is not an endorsement, verification or recommendation by us.

5. Anonymous Nature of the Service

You acknowledge that:

  • All users are anonymous. No identity verification is performed, and usernames do not represent real-world identities.
  • We cannot verify the accuracy, honesty or intentions of any user, and users may have undisclosed financial interests in tokens they discuss.
  • Content may be posted by token developers, traders, bots or bad actors.
  • We do not verify whether a person who purchases a Token Profile Upgrade is affiliated with or authorized by the token project.

6. Acceptable Use

You agree not to:

  1. Post false or misleading information about any cryptocurrency token or project
  2. Coordinate, encourage or facilitate pump-and-dump schemes, wash trading or any other form of market manipulation
  3. Promote scams, phishing, fraudulent token sales or other schemes intended to deceive users
  4. Use any feature, including sentiment voting or Token Profile Upgrades, to create a false impression of a token's legitimacy, team, affiliation or community sentiment
  5. Impersonate any person, entity or token project
  6. Post spam, advertisements or unsolicited promotional content
  7. Harass, threaten or abuse other users
  8. Post content that is unlawful, infringes the rights of others, or exploits minors
  9. Use the Service to conduct or facilitate any illegal activity
  10. Scrape, reverse-engineer, overload or otherwise interfere with the Service or its security
  11. Charge back or dispute a payment in bad faith after receiving the paid feature
Violations may result in removal of content, immediate loss of access and forfeiture of paid features. We cooperate with law enforcement where required by law, including in investigations of fraud or market manipulation.

7. User Content & License

You retain ownership of the messages and other content you post ("User Content"). You are solely responsible for your User Content and confirm that you have the rights needed to post it.

By posting User Content, you grant Mind Chat AI a non-exclusive, worldwide, royalty-free license to host, store, display, transmit and process it solely to operate and improve the Service. This license ends when the content is deleted from the Service. Messages are deleted automatically after 24 hours.

If you submit information for a Token Profile Upgrade (such as a name, logo or social links), you confirm that you have the right to use that content and that it does not infringe anyone's rights.

8. Moderation & Reporting

We are not obligated to monitor User Content, but we may review, restrict or remove any content at any time and for any reason, including where it violates these Terms. We use automated filters and human review, and apply a three-strike policy to repeated violations:

  • Strike 1: Warning — the offending message is removed
  • Strike 2: Temporary restriction from posting
  • Strike 3: Permanent ban from the Service

You can report content using the report button on every message or via peertalk.chat/report. Abuse of the reporting system may itself lead to sanctions. Moderation decisions can be disputed via peertalk.chat/moddispute. We do not guarantee response times and are not responsible for content that remains visible before it is removed.

9. Copyright Complaints (DMCA)

We respect intellectual property rights and respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a written notice to our designated agent:

Your notice must include:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  2. Identification of the copyrighted work claimed to be infringed
  3. Identification of the allegedly infringing material and information reasonably sufficient for us to locate it (for example, the room, token page or message and its time)
  4. Your name, postal address, telephone number and email address
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law
  6. A statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner's behalf

If your content was removed and you believe this was a mistake or misidentification, you may send a counter-notice to the same address containing the elements required by the DMCA (17 U.S.C. 512(g)(3)). We may terminate the access of users who repeatedly infringe the rights of others.

10. Third-Party Integrators (Widget)

If you operate a website or application that embeds the PeerTalk Widget ("Integrator"), you also agree that:

  • You are an independent operator and not an agent, partner or affiliate of Mind Chat AI
  • You are solely responsible for ensuring that embedding the Widget complies with the laws that apply to you
  • You will make these Terms accessible to your users and will not remove or obscure the Widget's disclaimer, safety features or reporting tools
  • You will not use the Widget to facilitate conduct prohibited by section 6
  • We are not liable for your users' use of the Widget on your platform, and you will indemnify us against claims arising from your embedding or use of the Widget

11. Proprietary Software & Intellectual Property

The Service, including its design, source code, Widget, SDKs, documentation and the PeerTalk and PeerTalkID names and logos, is proprietary software owned by Mind Chat AI. All rights reserved. Embedding the Widget and using the public APIs is permitted as described in the developer documentation at peertalk.chat/developers. Any other copying, modification, redistribution, resale or reverse-engineering requires a written license from us.

Token names, logos and metadata displayed on the Service are sourced from public blockchain data or submitted by users. We do not claim ownership of any third-party branding.

Paid features are currently unavailable. Checkout is disabled and no payments are accepted at this time.

We may offer optional paid features, such as Premium membership linked to a PeerTalkID account and Token Profile Upgrades (a cosmetic display of a token's name, logo and community links). When a paid feature is offered, its price, duration, renewal terms, payment method and refund terms will be shown at checkout and form part of these Terms for that purchase.

  • Payments are handled by third-party payment processors; we do not store payment card data or hold your funds.
  • Cryptocurrency payments are irreversible. Network fees and exchange-rate movements are your responsibility.
  • Token Profile Upgrades are cosmetic only. They do not affect votes or leaderboard positions and confer no endorsement or verification.
  • We may remove a paid feature without refund if it is used in violation of these Terms.
  • Unless stated otherwise at checkout or required by applicable law, purchases are non-refundable.

13. PeerTalkID Passphrase & Access Loss

Your PeerTalkID identity is derived from a 12-word passphrase generated locally in your browser. We do not store your passphrase or private key and cannot recover your identity.

If you lose your 12-word passphrase, your PeerTalkID identity and any associated paid features cannot be recovered. Store your passphrase securely offline. You are solely responsible for keeping it safe.

14. Privacy

Our Privacy Policy explains what data we process and how. In short, the Service is anonymous by default, IP addresses are hashed and deleted after 24 hours, and messages are encrypted at rest and deleted after 24 hours.

15. Suspension & Termination

We may suspend or terminate your access to the Service, at the session, IP-hash or PeerTalkID level, at any time and without notice, including if you violate these Terms or if your use creates legal, security or reputational risk for us or others. On termination, your right to use the Service ends immediately and any paid features end without refund, unless applicable law requires otherwise. Sections 4, 5, 7, 9, 11 and 16–19 survive termination.

16. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE".To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, or that any content, including blockchain-sourced token data, is accurate or complete.

17. Limitation of Liability

To the fullest extent permitted by law, Mind Chat AI and its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, funds or goodwill, arising out of or related to the Service, including losses arising from reliance on user-generated content, conduct of other users, loss of your passphrase, cryptocurrency price movements or third-party payment processor failures.

Our total liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or US$100.

Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above may not apply to you.

18. Indemnification

You agree to indemnify, defend and hold harmless Mind Chat AI and its affiliates, officers, employees and agents from any claims, damages, losses and costs (including reasonable attorneys' fees) arising from your use of the Service, your User Content or Token Profile Upgrade submissions, your violation of these Terms or of any law or third-party right, or any bad-faith chargeback you initiate.

19. Governing Law & Venue

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you and we consent to the personal jurisdiction of those courts.

Nothing in these Terms affects any mandatory consumer protection rights you have under the laws of your country of residence.

20. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, make reasonable efforts to notify users through the Service. Changes do not apply retroactively. Continued use of the Service after changes take effect means you accept the revised Terms. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.
